Terms & Conditions

Effective and last updated: August 30, 2026 · NextRev Docs

These Terms cover downloadable document-workflow templates sold only for business use in the United States and Canada. A purchase provides a limited single-business license, not ownership of the underlying templates. The products are organizational resources, not legal, compliance, accessibility or other professional advice.

1. Operator and Acceptance

NextRev Docs is the business name used by its individual owner to sell downloadable document-workflow templates from New York, United States. It is not represented in these Terms as a corporation or limited liability company. “NextRev Docs,” “we,” “us” and “our” mean the owner operating under that business name. “Buyer,” “you” and “your” mean the purchasing business and its authorized representative.

These Terms form a binding agreement when you check an acceptance box, place an order, pay for, download, access or use a product. If you do not agree, do not purchase, download or use a product. The Privacy Policy explains our handling of personal information.

2. Business Eligibility and Territory

The website and products are offered only to businesses and their authorized adult representatives located in the United States or Canada. They are not offered for personal, family or household use. By purchasing, you represent that:

  • you are at least 18 years old;
  • you are acting for a commercial or business purpose;
  • you have authority to bind the purchasing business; and
  • the purchasing business is located in the United States or Canada.

We may reject or cancel an order that does not meet these requirements.

3. Products and Boundaries

NextRev Docs sells pre-made, editable digital resources intended to help businesses organize document intake, feedback, revisions, review, approval and delivery. A product may include Word files, Excel files, PDFs, checklists, email scripts, examples, instructions or similar materials described on its product page.

Products are general organizational resources. They are not legal documents, legal advice, compliance advice, accessibility certification, accounting advice, cybersecurity advice or other professional advice. They do not create a contract between you and your client, prove legal acceptance, guarantee compliance, prevent disputes or guarantee any business result.

We do not review, edit, approve or store your client documents under these Terms. Do not send us client files or sensitive information. Any future custom service must be covered by a separate written agreement and is not included merely because you purchased a product.

4. Orders, Prices and Payment

The product description and price shown when you order are part of these Terms. Prices are stated in U.S. dollars unless the checkout says otherwise. Payment is due in full before download or delivery. A purchase is a one-time payment unless the checkout clearly identifies it as a recurring subscription.

Payment may be processed by Stripe or by a merchant-of-record or checkout provider identified at purchase. That provider may calculate, collect and remit applicable sales tax, GST/HST or similar charges; perform fraud screening; issue billing documents; convert currency; and apply its own checkout terms. You are responsible for charges imposed by your bank and for any taxes you must self-assess or report that are not collected at checkout.

We may correct an obvious pricing or product-description error before delivery by cancelling and refunding the affected order. Discounts have no cash value and may be changed or withdrawn before purchase.

5. Delivery, Compatibility and Support

Products are delivered electronically through a download page, checkout provider or email. You are responsible for supplying a working email address, downloading files promptly and maintaining your own secure backup.

Product pages identify the included file types and intended software. You are responsible for confirming that you have compatible software and the ability to edit the files. Appearance or functionality may vary across software versions, devices, fonts and third-party applications.

Basic support is limited to missing, inaccessible or corrupted download files and reasonable questions about what the product includes. Unless expressly offered in writing, support does not include customization, implementation, workflow consulting, document review, legal advice or support for third-party software.

6. Refunds

Because digital products can be accessed or copied immediately, purchases are final and non-refundable except where required by law or as stated below. Contact us promptly if:

  • you were charged more than once for the same product;
  • you reasonably believe a transaction was unauthorized; or
  • the purchased files are missing, inaccessible or materially corrupted.

For a verified delivery defect, we may first replace the files or restore access. If we cannot provide the materially described product within 10 business days after receiving enough information to investigate, we will refund the affected purchase. A change of mind, lack of compatible software, failure to read the product description, or dissatisfaction with an outcome outside the product’s stated purpose does not qualify for a refund, except where law requires otherwise.

When a merchant of record is the seller shown on your receipt, refund administration may also be subject to that provider’s mandatory terms and procedures. Nothing in this section limits a right that cannot lawfully be waived.

7. Product License

After full payment, NextRev Docs grants the purchasing business a limited, non-exclusive, non-transferable and non-sublicensable license to use and modify the purchased product for that business’s own internal operations and client engagements. Unless the product page states a different duration, the license continues for the version purchased while you comply with these Terms.

Under the standard single-business license, you may:

  • allow your employees and individual contractors to use the product solely for your business;
  • add your business name, branding and operational instructions;
  • make reasonable internal backup copies; and
  • share completed forms, reports or project records with your own clients as part of your ordinary services.

A separate purchase or written license is required for each legally separate business, affiliate, franchise, customer, membership organization or other entity that wants to use the editable source templates for itself.

8. Ownership

NextRev Docs and its licensors retain all right, title and interest in the website, product designs, editable source templates, instructions, examples, branding and other original materials, including all intellectual-property rights. A purchase provides only the license stated in these Terms; it is not an assignment or sale of copyright.

You retain ownership of your trademarks, original content and information that you add to a product. You are responsible for ensuring that you have the rights needed for everything you add.

9. Buyer Responsibilities

You are solely responsible for:

  • reviewing the product and deciding whether it is appropriate for your particular business and project;
  • customizing prompts, instructions and workflows rather than relying on examples as universal requirements;
  • verifying the accuracy, completeness, accessibility and suitability of anything you create with the product;
  • obtaining your own legal, compliance, tax, technical or other professional advice when needed;
  • maintaining appropriate agreements with your own clients and obtaining their approvals;
  • protecting information you enter into the files and selecting secure storage and sharing methods; and
  • complying with applicable laws, contracts, licenses and professional obligations.

10. Restricted Uses

You must not, and must not permit another person to:

  • sell, rent, sublicense, distribute, publish, share or give away an editable product or substantially similar derivative;
  • make a product available in a shared template library, membership, course, marketplace, repository or download site;
  • use a product to create a competing template pack or other product offered to third parties;
  • represent a product as legal advice, compliance certification or a guarantee of any outcome;
  • remove proprietary notices included in a product;
  • use the website or product in a deceptive, infringing, discriminatory, harmful or unlawful manner; or
  • circumvent checkout, access controls, download limits or security measures.

For clarity, sharing a completed project record with the client to whom that record relates is permitted. Giving that client the reusable blank or editable template for its independent use is not.

11. Third-Party Platforms

Products may be delivered through, or designed for use with, third-party services or software. Those third parties are independent and governed by their own terms, privacy notices, features, security and availability. NextRev Docs does not control them and is not responsible for their changes, outages, discontinued features or your separate account relationship with them.

References to Word, Excel, Google Docs, Google Sheets or another product do not imply sponsorship or endorsement. You are responsible for obtaining any third-party software or license required to use the files.

12. Website Use

When using the website, you must not:

  • violate law or another person’s rights;
  • introduce malware, interfere with security or attempt unauthorized access;
  • scrape, probe or overload the website except through ordinary browser use;
  • impersonate another person or misrepresent your authority; or
  • submit client documents, sensitive personal information or unlawful material.

We may change, restrict, suspend or discontinue the website or a feature without promising continuous availability.

13. Disclaimers

To the maximum extent permitted by law, the website and products are provided “as is” and “as available,” without express, implied or statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, compatibility and uninterrupted or error-free operation.

We do not guarantee that a product will prevent misunderstandings or disputes, satisfy a client or regulator, comply with a law or professional standard, improve revenue, save a particular amount of time or produce any other result. Examples are fictional and illustrative, and must be reviewed and adapted before use.

14. Limitation of Liability

To the maximum extent permitted by law, NextRev Docs and its owner will not be liable for any indirect, incidental, special, exemplary, punitive or consequential damages; lost profits, revenue, opportunity, business, goodwill or data; business interruption; cost of substitute products or services; or claims arising from your content, customization, client relationship, storage, sharing, decisions or use of a product, even if advised that such damages were possible.

To the maximum extent permitted by law, the aggregate liability of NextRev Docs and its owner arising from or relating to a product, the website or these Terms will not exceed the amount you paid for the specific product giving rise to the claim.

These limitations apply regardless of the theory of liability. They do not exclude or limit liability that cannot lawfully be excluded or limited, and any legally required exception is limited to the minimum extent required by applicable law.

15. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless NextRev Docs and its owner from third-party claims, losses, judgments, penalties and reasonable costs, including reasonable attorneys’ fees, arising from your content, customization, redistribution, client relationship, unlawful or professional use of a product, or material breach of these Terms. This obligation does not apply to the extent a final judgment determines that the claim was caused by our gross negligence or willful misconduct.

We will provide reasonable notice and cooperation at your expense. You may not settle a claim in a way that admits fault by or imposes a nonmonetary obligation on NextRev Docs without our written consent.

16. Suspension and Termination

We may suspend access or terminate a product license for fraud, chargeback abuse, unauthorized redistribution, security interference, unlawful conduct or another material breach. Where the breach can reasonably be cured, we may provide written notice and 10 days to cure before termination. Immediate action may be taken when reasonably necessary to prevent harm or protect rights.

Upon termination, you must stop using and delete the affected reusable templates and copies. Completed records previously created for legitimate client work need not be recalled, but you may not create new materials from the terminated product. Payment, ownership, restrictions, disclaimers, liability, indemnity, disputes and other provisions that by nature should survive will survive.

17. Governing Law and Disputes

These Terms and purchases from NextRev Docs are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Mandatory laws that cannot be waived remain applicable.

Before filing a claim, the complaining party must send written notice describing the dispute and requested resolution. The parties will attempt in good faith to resolve it through direct discussion for 30 days. If unresolved, each party consents to personal jurisdiction in the state and federal courts of competent jurisdiction located in New York and waives objections based on inconvenient forum, to the extent permitted by law.

Nothing prevents either party from seeking temporary injunctive relief for misuse of intellectual property or confidential information, pursuing an eligible claim in small-claims court or meeting a legal filing deadline.

18. General Terms

  • Independent parties: A purchase does not create an employment, agency, partnership, joint-venture, fiduciary or professional-adviser relationship.
  • Assignment: You may not assign these Terms or a license without written consent. We may assign them in connection with a sale or succession of the business.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Severability: If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions continue.
  • No third-party beneficiaries: These Terms benefit only the parties and permitted successors.
  • Electronic agreement: Electronic acceptance, payments and records may be used to form and document this agreement.
  • Entire agreement: These Terms, the product description at purchase and incorporated policies are the entire agreement about the product and replace prior discussions on the same subject.
  • Order of precedence: A checkout provider’s mandatory transaction terms control only where they conflict regarding payment, tax, billing or a non-waivable refund right; these Terms otherwise govern the license and use of the product.

19. Changes and Contact

We may update these Terms prospectively by posting a revised version and changing the effective date. The version presented or linked when you purchase governs that purchase unless a change is required by law or both parties agree otherwise. Material license changes will not retroactively remove rights already paid for while you remain in compliance.
